PROPOSED REGULATION CRYPTO ASSETS

Build useful networks. Plan for responsible capital formation.

Proposed SEC rules. Reg Crypto is not an available offering exemption today.

Regulation Crypto Assets, or Reg Crypto, is an SEC proposal for certain investment contracts involving crypto assets. It could give qualifying projects a tailored way to raise capital and provide investor disclosures. Adoption, timing and final requirements remain uncertain.

POTENTIAL USE CASES

What useful projects could look like

A distributed computing network could fund software that connects customers with available computing capacity.

A supply-chain network could build shared verification tools for participating businesses.

An energy network could improve how participants record and coordinate eligible services.

These are illustrative ideas, not Ohanae clients, approved offerings or investments.

The business should explain who uses the network, what problem it solves and why a token is needed. A token does not create customer demand or a viable business by itself.

POTENTIAL INFRASTRUCTURE

Where Ohanae could help

If adopted in a suitable form, Reg Crypto could connect qualifying projects to Ohanae’s securities infrastructure for capital formation, ownership records where appointed, custody and legally permitted secondary activity. Crypto exchanges could collaborate on project development, introductions and liquidity relationships while retaining their own customer relationships.

ELIGIBILITY AND TRANSITIONS

International projects and future transitions

The proposed Startup Exemption could include qualifying foreign issuers. Eligibility differs across the proposed routes; foreign projects should not assume access to every fundraising tier. Any later change in an asset’s securities treatment would require satisfaction of the applicable legal conditions. Filing a transition report alone would not settle that question.

PRACTICAL NEXT STEPS

What to do now

Develop a real use case, financial plan, governance and clear disclosures. Discuss existing lawful offering routes where suitable while following the proposal. Do not solicit or accept investments in reliance on rules that have not taken effect.
