ISSUER-SPONSORED SECURITIES

Securities built on blockchain from the start.

Core market focus. Availability depends on the security and applicable requirements.

A company can issue securities using blockchain as part of its ownership and transfer infrastructure. In an issuer-sponsored, blockchain-native structure, the issuer participates in creating the security and its ownership records. A separate conventional public share does not have to sit behind every token.

UNDERSTANDING THE MARKET

An issuer-connected foundation for ownership and trading.

01

What OTC Means Here

Over-the-counter, or OTC, describes securities trading outside a national securities exchange. Ohanae’s focus is issuer-sponsored, blockchain-native securities outside the National Market System. We do not propose to turn unrelated conventional OTC stocks into tokens without issuer participation.

02

Hold and Trade First

Eligible investors need a secure account and a practical way to transfer or trade their holdings when permitted. Ohanae brings custody, private-key protection, controlled recovery, trading, clearing and settlement into one customer experience. Ownership and transfer restrictions remain enforceable; blockchain does not remove them.

03

Connected to the Issuer

Ohanae, Inc., an SEC-registered transfer agent, supports ownership records when properly appointed or otherwise legally authorized. That connection helps align issuance, holder records, transfers and corporate actions. Ohanae Securities provides regulated brokerage services within its approved scope.

ISSUANCE & MARKETS

Capital formation on the same foundation

Issuers may explore appropriate securities-offering pathways, including Regulation D Rule 506(c), Regulation A and registered offerings where suitable. Proposed Reg Crypto could add another pathway if adopted. Issuer and investor eligibility differ by route.

A company can raise capital without creating a liquid trading market. Secondary activity requires its own legal basis, permitted transfers, market participation and operating readiness. Continuous trading, liquidity and prices are not guaranteed.
